This module will help participants to understand the need to identify and protect intellectual property, and the major areas of business law relevant to new ventures. The module will cover the principles of intellectual property and how it can be commercialized, including strategic and organizational challenges in creating, obtaining and managing IP as an asset; critical IP issues in major fields; and the role of IP in strategic planning.
It will also cover the major legal issues that a new venture or new line of business may encounter during its early stages, including legal structure and legal entity, governance and fiduciary duties; venture financing, shareholder agreements; employment and labour law; and regulatory schemes across major fields.

Learning Outcomes:

At the end of this module students will be able to:
- Identify and discuss the major issues that new venture leaders must address related to IP and business law
- Identify suitable IP and business law strategies and critically assess their application to a variety of business contexts
- Apply strategic IP and business law thinking to development of their own new ventures and new lines of business inside existing firms
